Vault Minerals Limited has signalled its intention to terminate its scheme of arrangement with Regis Resources Limited and proceed with a superior takeover proposal from Genesis Minerals Limited, ending an acquisition process that has taken a dramatic turn in recent days. The decision comes after Regis announced it will not exercise its matching rights to counter Genesis’s offer, effectively removing the primary obstacle to Vault’s acceptance of the superior proposal.

Under the terms of the original scheme implementation deed with Regis, Vault was subject to a matching rights period that expired on 13 July 2026. This mechanism allowed Regis to respond to any competing offer by submitting its own counterproposal within a set timeframe. Regis’s decision not to invoke these rights represents a significant moment, suggesting that the Genesis proposal offers terms that Regis either cannot or is unwilling to match. Vault now has until 7:00am Australian Western Standard Time on 14 July 2026 to formally terminate the Regis agreement and accept the Genesis proposal.

The financial cost of this transition is material. Vault will be required to pay a break fee of approximately $50.7 million to Regis upon termination of the scheme implementation deed. This substantial sum reflects both the value of the original transaction and the contractual penalties associated with backing out. The break fee’s magnitude underscores the significance of Genesis’s proposal, as Vault’s board has evidently determined that the Genesis offer justifies incurring this cost and the associated shareholder scrutiny.

For investors in both companies, this development carries significant implications. Vault shareholders face a transition period where the original Regis deal is replaced by the Genesis transaction, which will require its own approval process and regulatory clearances. Regis shareholders, meanwhile, must absorb the disappointment of losing a strategic acquisition target, though the break fee represents some compensation for Vault’s departure from the original agreement.

The timeline is compressed, with Vault having until tomorrow morning to execute the formal termination and acceptance. The subsequent focus will be on whether the Genesis proposal proceeds smoothly through regulatory clearances and shareholder approval, or whether unforeseen obstacles emerge. The ASX will be monitoring developments closely given the material nature of these transactions and their impact on the entities involved. This announcement is price sensitive and has been flagged as material by the ASX.
