Bank of Queensland has announced a capital return to shareholders totalling approximately $295 million, comprising a fully franked special dividend of 15 cents per share and an on-market share buy-back of up to $196 million. The capital return underscores the bank’s strengthened financial position following the completion of its equipment finance portfolio sale, announced in May 2026, and represents a significant allocation of capital in the current environment.
The special dividend will be paid to shareholders with an ex-dividend date of 13 August 2026 and a payment date of 24 August 2026, while the Dividend Reinvestment Plan will be suspended for this distribution. The on-market buy-back is expected to commence after the special dividend is paid and will be conducted over the next 12 months within the 10 percent limit permitted under the Corporations Act. Merrill Lynch Equities has been appointed as broker to execute the buy-back, with any acquired shares immediately cancelled, reducing the overall share count.
The capital return reflects BOQ’s disciplined management of its strong capital position. The bank reported a Common Equity Tier 1 ratio of 11.79 percent as at 31 May 2026, and the capital return is expected to reduce this to a pro-forma 11.01 percent, still comfortably above the management target range of 10.25 to 10.75 percent. This positioning gives the board confidence to return capital to shareholders whilst maintaining adequate capital buffers above regulatory minimum requirements.
The combination of a special dividend and buy-back is designed to deliver immediate returns to shareholders through the dividend while providing ongoing accretion to earnings per share through share count reduction. This approach is typical of major Australian banks when capital positions exceed targets, balancing shareholder returns with retained capital for future lending growth and regulatory resilience. The franking on the special dividend provides additional value to Australian investors.
Beyond the capital return, BOQ has completed a significant milestone in its digital transformation, finishing the migration of approximately 350,000 ME Bank customers to BOQ’s modern digital platform. This completion of a multi-year program represents a material reduction in legacy banking infrastructure and aligns with BOQ’s strategy to become a simpler, more efficient specialist bank. The next phase will involve decommissioning the heritage ME platforms, which should deliver ongoing cost benefits and operational efficiencies.
Investors should monitor the execution of the buy-back program, tracking the number of shares repurchased and the prices achieved, as this will influence the actual earnings per share accretion realised. The full benefits of the ME integration and legacy platform decommissioning should become clearer in future profit reporting as cost synergies flow through operations. This announcement is price sensitive and has been flagged as material by the ASX.
