Accent Group Limited has lodged its Second Supplementary Target’s Statement with the ASX, updating shareholders on the A$0.65 per share takeover offer from Frasers Group plc. The supplementary statement was filed on 21 August 2026 specifically to provide shareholders with updated analysis following the release of Accent’s final FY26 financial results. This represents the second supplementary update to the original Target’s Statement issued on 29 June 2026, with the first supplementary version having been released on 29 July 2026, reflecting the ongoing disclosure obligations that arise throughout a takeover bid process.

The structure of Australian takeover regulation requires that material developments occurring after the initial Target’s Statement be communicated to shareholders through supplementary statements. The release of a company’s full year audited results clearly constitutes such material information, as these results provide shareholders with actual financial metrics, operational performance data, and a clear picture of the target company’s financial position at a specific point in time. By filing this Second Supplementary Target’s Statement, Accent is ensuring that shareholders have access to all relevant information before making their decision on whether to accept Frasers’ offer.

The progression of supplementary statements in this bid tells a story of regulatory diligence and transparent disclosure. The original statement in late June would have been prepared when final FY26 results were not yet available. The first supplementary statement in late July may have addressed intervening developments, while this second supplementary now directly incorporates the implications of the audited FY26 financial results. For shareholders considering the A$0.65 per share offer, this layered approach to disclosure means they now have access to the company’s full year financial performance and any updated board analysis reflecting those results and their relevance to the bid valuation.

Accent shareholders will be notified of the supplementary statement according to their communication preferences, ensuring the update reaches both electronically engaged shareholders and those who prefer paper-based communications. Frasers Group has also received a copy, maintaining the bidder’s full visibility into new developments affecting the target company. The statement has been prepared by Accent’s legal advisers, Arnold Bloch Leibler, in accordance with the Corporations Act 2001 requirements governing takeover bids.

Investors holding Accent shares should now review all documentation comprehensively, as the original Target’s Statement and both supplementary statements form the complete information package available for making an informed decision. The documents will contain the board’s formal analysis of whether the A$0.65 bid price fairly represents value given Accent’s operating performance, financial condition, and future prospects. This announcement is classified as price sensitive material by the ASX.
