Transurban Group’s NSW Toll Reform Direct Deal has been finalised following a complex negotiation involving the NSW Government and 10 concessionaires across 10 assets. This represents a major milestone in restructuring Sydney’s toll network, though full implementation remains subject to definitive agreements and various regulatory approvals. The comprehensive reform package aims to deliver benefits for motorists through toll reductions and network improvements while preserving the value of existing concession contracts without negatively impacting Transurban’s near-term distributions.

The reform package includes several concrete changes to Sydney’s toll structure. Toll price reductions are confirmed for the M2, M7, Lane Cove Toll Road, and Cross City Tunnel. The Eastern Distributor will transition to two-way tolling at 53% of the current inbound toll rate. Additional reforms include a new motorcycle vehicle class and standardisation of truck toll multipliers, creating a more consistent pricing framework across the network. The Government and concessionaires have also agreed to digitise toll notices and reform enforcement processes, while switching off toll notice administration fees, reducing compliance costs for motorists.

The deal protects Transurban’s cashflow through strategic timing of concession-level funding. The early monetisation of the Hills M2 Promissory Notes and the Eastern Distributor Concession Notes provides liquidity to participating concessionaires. Equalisation payments will be made over time between the Government and concessionaires, based on the net outcomes of pricing changes, traffic impacts, and network enhancements from the proposed M7-M2 Widening Project. For Transurban shareholders, the arrangement provides a degree of certainty on distributions given that the company operates multiple assets affected by the reform.

Implementation now depends on several critical milestones. Formal transaction documents and final approvals from both the Government and concession holders are expected by the second half of 2026. Two-way tolling on the Eastern Distributor and concession note payments are anticipated in 2028, aligned with the opening of the Western Harbour Tunnel, subject to regulatory approvals and financier consents. The proposed M7-M2 Widening Project, which would expand the motorway from two to three lanes between Richmond Road and Windsor Road, remains subject to planning approvals, financier consents, and Government investment decisions.

Investors should monitor three key developments in coming months: the execution of formal documentation and satisfaction of conditions precedent, traffic performance data to assess whether the reforms deliver predicted network benefits, and progress on the M7-M2 Widening approvals and funding. The widening project is critical to the overall reform outcomes, as price adjustments on the M7 are dependent upon it proceeding. This ASX announcement is price sensitive and has been flagged as material.
