Tabcorp Holdings has agreed to acquire 100% of wagering technology provider BetMakers Technology Group for $0.24 per share, valuing the business at approximately $267 million on an enterprise value basis. The transaction represents a key milestone in Tabcorp’s strategic transformation, accelerating its technology modernisation efforts while simultaneously expanding its international B2B growth platform.
The deal capitalises on BetMakers’ impressive technology transformation over the preceding two years, providing Tabcorp with access to advanced wagering platforms and a talented development team. By combining BetMakers’ technical capabilities and data infrastructure with Tabcorp’s established media rights, content library, and customer relationships, the combined entity aims to create a more differentiated and compelling offering for customers in global markets. The strategic fit appears well considered, as both organisations operate in complementary segments of the wagering ecosystem.
On the financial front, Tabcorp is targeting $30 million in annual cost synergies by the end of Year 2 of ownership, with additional value expected through revenue growth initiatives. The transaction is priced at 6.1 times BetMakers’ latest twelve-month EBITDA when including the full run-rate cost synergies, which appears reasonable given the strategic value and integration opportunities. Management expects the deal to be accretive to earnings per share from Year 2 onwards, with double-digit accretion anticipated from Year 3, providing a clear financial pathway to justify the capital deployment.
Tabcorp has preserved significant financial flexibility with the deal structured so that pro forma leverage remains well below the company’s stated policy, even under conservative assumptions around scrip take-up. BetMakers shareholders may elect to receive up to 25% of their consideration in Tabcorp shares at a minimum issue price of $1.00 per share, representing a 12% premium to Tabcorp’s last closing price. This arrangement provides BetMakers shareholders with flexibility while limiting dilution to existing Tabcorp investors.
The BetMakers Board has unanimously recommended the scheme to shareholders, clearing an important hurdle for the transaction to proceed. Looking ahead, investors should monitor the scheme approval process and the timetable for regulatory clearances, but most critically, management’s execution on delivering the identified $30 million cost synergies and the projected earnings per share accretion. This announcement has been flagged as price sensitive and material by the ASX.
