Lynas Rare Earths has entered into a binding scheme implementation deed to acquire Meteoric Resources in an all-share transaction valued at A$968 million, bringing the Caldeira Rare Earth Project into its portfolio. The deal marks a significant strategic move for the world’s largest rare earth producer outside China, combining Meteoric’s Brazilian asset with Lynas’ existing operations in Western Australia and Malaysia.

Caldeira represents the largest known ionic clay rare earth oxide mineral resource outside China, containing both light and heavy rare earth elements. The project has already completed its definitive feasibility study and sits in the established mining jurisdiction of Minas Gerais, Brazil, reducing execution risk compared to greenfield development. The acquisition diversifies Lynas’ resource base from a single tier-1 hard rock operation to two complementary deposit types, a structural advantage in managing long-term supply risk.

The numbers underpin the strategic rationale. On a pro forma arithmetic basis, Caldeira is expected to increase Lynas’ reported Measured and Indicated total rare earth oxide mineral resources by approximately 79 percent and ore reserves by approximately 26 percent. The project is estimated to contribute 802,000 tonnes of neodymium-praseodymium oxides and 41,000 tonnes of dysprosium-terbium oxides within Meteoric’s mineral resource base. During the life-of-mine operation, Caldeira is forecast to produce approximately 3,862 tonnes of NdPr and 127 tonnes of DyTb annually, at a competitive cost position.

For investors, the strategic benefits extend beyond resource tonnage. Lynas gains valuable Brazilian expertise and in-country relationships from Meteoric’s experienced team. The transaction supports Lynas’ stated growth pillar to add resource and scale production capacity for critical heavy rare earth elements, particularly dysprosium and terbium, where supply constraints remain acute. The deal is expected to be accretive to Lynas across key metrics including net asset value, mineral resources, ore reserves, and future feedstock capacity for NdPr and DyTb.

The all-share exchange ratio of 0.0207 Lynas shares per Meteoric share reflects an implied control premium for Meteoric shareholders, who gain immediate exposure to Lynas’ commercial rare earth production and processing capabilities. The acquisition also opens potential for downstream processing development in Brazil, leveraging Lynas’ proven expertise from its advanced materials plant in Malaysia and creating additional value capture opportunities along the supply chain.
