Atlas Arteria has disclosed a material shift in French taxation that threatens to significantly increase costs for its European operations. The Long-distance Transport Infrastructure Tax (TEILD) is set to rise from a flat 4.6% to a tiered structure with rates reaching as high as 12.2%, depending on company profitability. The French government expects this change to more than double total TEILD revenue collection from approximately €600 million to €1.4 billion.
The tax applies to operators of long-distance transport infrastructure with annual revenues exceeding €120 million and historical profit margins above 10% over the prior seven years. Atlas Arteria’s French subsidiary APRR currently meets these criteria. In 2025 alone, APRR paid €126.7 million in TEILD, calculated under the current flat rate against revenues exceeding the €120 million threshold. If rates increase materially as proposed, this cost could rise substantially, contingent on how regulators assess the company’s profitability within the new tiered framework.
The proposed shift from a simple flat tax to a profitability-based structure introduces complexity and uncertainty into financial forecasting. Companies cannot control how tax authorities categorize their margin performance or set the thresholds between different rate bands. This regulatory unpredictability creates challenges for long-term planning and cash flow projections, particularly for capital-intensive infrastructure operators with limited ability to adjust pricing through market competition.
The French government’s stated intention to extend and reduce the Temporary Supplemental Tax (TST) offers some offset to the TEILD increase. The TST, which applies to companies with revenues exceeding €1.5 billion, is expected to see collections fall from €7.3 billion to €5 billion. However, the combined impact of a higher TEILD and TST modifications leaves the net effect on Atlas Arteria’s total French tax burden uncertain and likely materially unfavorable.
Timing and legislative uncertainty compound the issue. The draft Finance Bill is scheduled for presentation on October 1, with debate expected throughout the coming months in the French Parliament. The final legislation could differ significantly from current proposals, meaning neither the specific tax rates nor profitability thresholds are finalized. APRR is pursuing legal remedies regarding the existing TEILD, though outcomes remain unclear. Investors should track parliamentary proceedings closely, as the final tax structure will directly impact Atlas Arteria’s earnings and distributions. This announcement is price sensitive and flagged as material by the ASX.
