Corporate Travel Management has reached binding settlement agreements with key UK customers representing 86 percent of its estimated GBP 118 million liability, marking a significant milestone in resolving the company’s accounting issues in that market. The customers collectively account for GBP 102 million of the total liability, with CTM agreeing to refund GBP 87 million. Of this amount, GBP 11 million has already been paid, leaving GBP 76 million to be refunded in stages extending to 30 September 2027. This staged repayment approach provides the company breathing room to manage its cash position while addressing the remediation obligations.
The company has also settled additional disputes arising from 2025 contracts, agreeing to pay GBP 12 million to affected customers, of which GBP 6 million relates to the first half of the current financial year. These settlements reduce the outstanding dispute exposure to just GBP 16 million, representing the portion of the original liability where negotiations with customers remain ongoing. Management expects to conclude these final discussions shortly, suggesting the bulk of the uncertainty surrounding the UK remediation could be resolved in the coming weeks.
For investors, these agreements provide clarity after months of uncertainty following the April 2026 disclosure of the revenue reversal requirement. The fact that CTM secured binding commitments from customers accounting for such a large proportion of the liability demonstrates that the company and its advisers have successfully navigated challenging commercial discussions. The cooperation of customers, as noted by managing director Ana Pedersen, also suggests that the issues are viewed as administrative or technical matters rather than representing fundamental questions about service quality or customer relationships. This distinction matters for the company’s ability to retain and grow its customer base.
The staged repayment schedule provides important relief for CTM’s cash flow, though the company will face material outflows through 2027. Management noted it is in final discussions with lenders regarding financing to support both the remediation obligations and ongoing business requirements. The structure and terms of this financing will be crucial to monitor, as it will determine the actual cash cost to the company and potential equity dilution or debt burden that shareholders might face.
The pathway to listing reinstatement appears to be clearing. The company stated that concluding negotiations with these key customers represents a significant step in resolving the UK matters in a fair manner and in enabling the FY25 audited financial statements to be issued. With 86 percent of the liability now settled and only GBP 16 million remaining to negotiate, CTM has substantially eliminated the uncertainty that suspended its ASX listing. The next catalyst for investors will be the completion of financing arrangements, followed by the resumption of trading and release of audited financial results.
