Dicker Data has agreed to acquire Sektor Group Ltd for approximately AUD $111.8 million in a fully binding transaction, establishing the company’s first significant operational presence in South-East Asia. The acquisition is structured on a cash-free, debt-free basis for 100% of Sektor’s share capital, with settlement targeted for end of October 2026.

Sektor operates as a distributor of point-of-sale, enterprise mobility, cybersecurity, and physical security technologies across Australia, New Zealand, Thailand, and Malaysia. The business currently employs approximately 230 people, including around 60 in Thailand and Malaysia. The strategic value of this acquisition rests on two primary pillars. First, Dicker Data gains immediate operational presence in two high-growth South-East Asian markets alongside experienced local teams and established facilities, positioning the company to expand across the wider Asia-Pacific region, which represents an estimated USD $647 billion in ICT spending. Second, the acquisition delivers product diversification and new vendor-customer relationships in cybersecurity, physical security, and the point-of-sale and AIDC categories, which represent approximately AUD $1 billion in addressable market opportunity across Australia and New Zealand alone.

Sektor’s recent financial performance provides a solid foundation. For the twelve months ending August 31, 2026, the business generated gross revenue of NZD $440 million with normalised pre-AASB16 EBITDA of NZD $22.7 million. Management is targeting annualised post-integration EBITDA of NZD $28-32 million, implying an EBITDA uplift of 23 to 41 percent from the current base. The synergy narrative is compelling, with Dicker Data’s partner network exceeding 12,000 resellers across Australia and New Zealand now positioned to distribute Sektor’s vendor portfolio, while Sektor’s established relationships gain access to these broader markets.

The transaction is expected to be earnings accretive in FY26 ending December 31, 2026, excluding one-off costs, with Dicker Data funding the acquisition through an extension of existing debt facilities. Given a late-October completion window, the company anticipates approximately two months of contribution to the current financial year result, with full annualised benefit accruing in FY27.

Investors should monitor regulatory approvals, which remain subject to standard conditions, and track the completion milestone in late October. Quarterly reporting in the company’s FY26 result will provide the first substantive data on revenue contribution and integration momentum. The EBITDA uplift target represents meaningful but achievable upside, contingent on disciplined integration execution. This transaction is price sensitive and has been flagged as material to the ASX.
