Hansen Technologies reported full year revenue of $386.5 million for the period ended 30 June 2026, down 1.5 percent from the prior year, but underlying net profit after tax surged 15.9 percent to $65.9 million. The apparent disconnect between declining reported revenue and rising underlying profit reflects the company’s strategy of deploying capital into acquisitions while maintaining operational momentum. The standout development for the period was the acquisition of Digitalk Group Holdings Limited on 31 December 2025, a UK-based software company with operations spanning the United States, Singapore, and Italy. This acquisition materially reshaped the group’s earnings profile and explains much of the underlying profit growth despite flat top-line performance.

The quality of earnings metrics tells the fuller story. Underlying EBITDA increased 7.2 percent to $111.7 million while statutory EBITDA grew 16.2 percent to $53.9 million. The divergence between statutory and underlying measures reflects acquisition-related amortisation of acquired intangibles, a non-cash charge that masks underlying cash generation. For investors focused on sustainable earnings power, the underlying NPATA metric of $65.9 million is the more relevant measure of operational performance. This represents a significant improvement in the company’s earnings trajectory independent of one-off items, suggesting the acquisition of Digitalk is already contributing meaningfully to the group’s profitability.

The acquisition represents a strategic bet on consolidation within software services for telecommunications and cable industries. Digitalk brought established customer relationships across multiple geographies and complementary technology assets to Hansen’s platform, positioning the combined entity for enhanced cross-selling and cost synergies. The fact that the acquisition closed mid-year yet drove full-year underlying profit growth to 15.9 percent hints at material synergy capture already underway, though investors should expect further benefits as integration deepens through FY27.

From a capital management perspective, Hansen maintained dividend momentum with a fully franked final dividend of 2.55 cents per share, marking consistent shareholder returns. The company elected to fully discount the share price for its dividend reinvestment plan, providing reinvesting shareholders access to shares at fair value rather than a discount. This approach signals confidence in the company’s valuation despite the substantial goodwill buildup from acquisitions.

The reported net tangible assets per security deteriorated to negative 7.9 cents from negative 1.1 cents, a direct result of acquisition goodwill and intangible asset recognition. While this metric is immaterial for a software and services business where competitive advantages and customer relationships drive value, it underscores that Hansen’s balance sheet carries significant intangible asset value. Investors should focus on cash generation, return on invested capital, and underlying earnings metrics rather than tangible book value.

Looking forward, the critical question is the pace of Digitalk integration and whether management can sustain the 16 percent underlying EBITDA growth trajectory while deploying further acquisition capital.
