Washington H. Soul Pattinson and Company Limited completed a transformative merger with Brickworks Limited in September 2025, creating a combined investment company now trading on the ASX under the ticker SOL. The scheme of arrangement received approval from the Supreme Court of New South Wales on 12 September 2025 and became effective on 15 September, with the merged entity commencing ASX trading on 24 September 2025. This consolidation represents one of Australia’s most significant investment company combinations in recent years, bringing together two substantial portfolio managers under a unified structure.

The financial results for the year ended 31 July 2026 demonstrate the substantial earnings potential of the combined platform. Profit after tax attributable to members surged 502% to $2,191 million, compared with $1,827 million in the prior corresponding period. Revenue from continuing operations increased 96% to $1,872 million, while net cash flow from investments, which reflects income received from dividends, interest and realised gains on the investment portfolio, rose 12% to $1,827 million. These figures include twelve months of Soul Patts’ standalone performance plus one hundred percent of Brickworks’ results from the 23 September 2025 merger date.

The merger was substantially funded through a $1.3 billion equity raising, with 34.3 million new shares issued to participating investors. This capital injection strengthens the balance sheet and provides the combined group with increased capacity for future acquisitions and investment opportunities. The enlarged entity now operates across multiple asset classes, including listed companies, fixed income securities, real assets, emerging companies, credit and private companies, positioning it as a diversified multi-asset investment vehicle with exposure across the capital structure.

Dividend policy reflects management confidence in the combined business. Soul Patts declared fully franked dividends for both interim and final distributions, with the final dividend record date set for 13 October 2026 and payment scheduled for 5 November 2026. The dividend reinvestment plan continues to operate, allowing shareholders to build their positions in the merged entity without cash outlay. The maintenance of full franking provides additional tax efficiency for Australian investors.

Investors should closely monitor the group’s ability to integrate the two investment platforms effectively and deploy capital into value-accretive opportunities. The realisation of operational and investment synergies, combined with disciplined capital allocation, will be the key drivers of shareholder value creation over the coming years. The announcement is price sensitive and has been flagged as material by the ASX.
