Reliance Worldwide Corporation has concluded its “Go Shop” period without receiving any superior proposals, a finding that the company’s board views as validating the Brookfield acquisition offer at US$3.38 per share, equivalent to A$4.87 at the 16 October exchange rate. The open-market testing process ran for exactly one month from 16 September, during which RWC and its advisers engaged with potential strategic and financial buyers internationally. The absence of competing bids removes a significant source of uncertainty for shareholders evaluating the Brookfield transaction and allows the deal to move toward formal approval stages.
The Brookfield acquisition represents a defined exit for RWC shareholders with the certainty of cash consideration, contrasting with the volatility typical of public equity ownership. The board emphasises that it assessed the offer on a fundamental valuation basis, weighing RWC’s strategic position, growth opportunities and cash generation potential before concluding that Brookfield’s price reflects compelling value. Russell Chenu, RWC’s chair, noted in the announcement that the board’s careful evaluation of these factors, combined with the comprehensive market testing showing no superior proposals, reinforces confidence in the offer terms.
The transaction now enters its formal approval phase, subject to standard conditions including shareholder vote, court approval and regulatory clearance. The scheme booklet is expected to circulate in early November, with the shareholder meeting scheduled for early to mid-December and implementation targeted for late December 2026. The independent expert’s assessment, which must conclude that the scheme is in shareholders’ best interests, remains a key condition. Directors have signalled their intention to vote their own shareholdings in favour, subject to the expert’s approval and the absence of a superior proposal.
Following conclusion of the Go Shop period, customary no-shop and no-talk restrictions now apply under the scheme implementation deed, though the board retains fiduciary carve-outs allowing it to respond to any genuinely superior proposal that could emerge. Brookfield’s matching rights continue in effect. These restrictions create clarity around the deal’s path while preserving the board’s ability to act in shareholders’ interests should material circumstances change.
The next critical milestones are the release of the scheme booklet and the independent expert’s report in November, followed by the shareholder meeting in December. Investors should watch for any material changes to scheme conditions, regulatory feedback from authorities reviewing the transaction, and any developments that might trigger the fiduciary exceptions. The announcement is price sensitive and has been flagged as material by the ASX.
