SEEK (ASX: SEK) – SEEK Growth Fund 4 Update

Seek (ASX: SEK)View stock profile →

SEEK Limited has restructured its Growth Fund entering the second five-year phase beginning 1 November 2026, introducing a liquidity-focused framework designed to align the fund manager’s incentives with investor returns. The restructuring represents a meaningful shift in how the fund operates, with the critical change being a requirement that the fund manager earn carried interest only if at least $840 million in liquidity is distributed to investors, including approximately $700 million earmarked for SEEK itself.

The fund has classified its investments into two categories reflecting different strategies. Core Assets, valued at $1.25 billion as of September 2026, represent holdings where the original growth thesis remains achievable and where the fund expects to deliver returns exceeding 20 percent per annum. Non-Core Assets, valued at $499 million, represent investments no longer expected to meet original return expectations and are targeted for disciplined divestment. This bifurcated approach signals management’s intent to focus resources on higher-return opportunities while systematically exiting underperforming positions through what it describes as the natural market lifecycle of each investment.

Management fees payable by SEEK will decline to approximately $17 million annually from $18 million in Stage 1, with a $5 million reduction attributable to SEEK assuming direct management of certain assets including Zhaopin and JobAdder. This fee reduction occurs even as the fund pursues an ambitious liquidity target, suggesting confidence in generating returns from a leaner cost base. The carried interest framework for Stage 2 reflects market benchmarks and has been structured with an 8 percent hurdle rate based on the September 2026 Core Asset valuation plus management fees, a 17.5 percent carried interest rate for the manager, and a 50-50 catch-up mechanism above the hurdle.

The fund’s historical performance provides context for these changes. Since inception in 2021, it has delivered a 12 percent return on investment and returned $233 million to investors, representing 13 percent of invested capital despite what management characterizes as challenging macro conditions and sector valuation pressure. SEEK’s own distributions have totaled $196 million. The company has indicated it will make no further capital contributions and expects its current 83.8 percent ownership stake to decline over time, aligning long-term ownership reduction with the liquidity objectives outlined in the restructuring.

Investors should monitor progress toward the $840 million liquidity threshold, expected to be satisfied predominantly through sales of non-core and potentially some core assets. The timing and realization of that liquidity will depend on investment performance, market conditions and valuation outcomes. This announcement is price sensitive and has been flagged as material by the ASX.
