Qube Holdings Limited’s scheme of arrangement has been successfully implemented, with Rubik Australia Pty Limited now holding 100% of the company’s shares. This marks the completion of a takeover process that has been in motion since the scheme was initially proposed, culminating in the formal acquisition of all issued shares in the logistics and supply chain company.

Shareholders in Qube, with the exception of UniSuper, will receive $5.20 per share as consideration. This figure represents the net payment after accounting for two dividend distributions held on the scheme record date of 24 July 2026: an interim dividend of $0.0535 per share declared on 20 February 2026 and a special dividend of $0.3465 per share announced on 8 July 2026. UniSuper, holding a specified allocation of Qube shares, will receive shares in Rubik Australia Holdings Pty Limited instead of cash consideration.

The implementation triggers an immediate change in trading status for Qube shares on the ASX. Trading in Qube shares was suspended from the close of trading on 8 July 2026, and the company will be removed from the official list of the ASX effective at close of trading on 17 August 2026. This delisting marks the end of Qube’s tenure as a publicly listed company on the Australian stock exchange.

For Qube shareholders, the implementation represents the final step in converting their equity position into cash or Rubik holdings. The $5.20 per share payment already factors in the dividend distributions, simplifying the total return calculation for selling shareholders. Those who held shares through to the scheme record date will have already received the interim and special dividends as separate payments, while the $5.20 figure reflects the base acquisition price.

Investors who held Qube shares should ensure they have settled all payments and understand the tax implications of the transaction in their jurisdictions. The delisting on 17 August 2026 represents a hard deadline for any outstanding share registry matters, as Qube will cease to be a listed entity. For those receiving shares in Rubik Australia Holdings, clarity on the operational structure and strategic direction of the new entity under Rubik ownership will be important to monitor.
