Yancoal Australia (ASX: YAL) – Acquisition Financing and Director Election

Yancoal Australia has renewed its coal supply agreements with controlling shareholder Yankuang Energy and affiliated company YIT for the 2027 through 2029 period, establishing annual revenue caps of US$300 million and US$900 million respectively. Combined with ancillary supply arrangements, these renewed agreements represent a total annual ceiling of US$1.2 billion in sales to connected parties over the next three years. The company expects committed supply volumes of 6 million tonnes per annum, centred on thermal and coking coal sales into the Chinese market.

The pricing structure protects Yancoal from below-market discounting. Sale prices will be determined by reference to the McCloskey API5 index, an internationally recognised benchmark for Newcastle coal, adjusted for quality characteristics and market alternatives. Specifically, the company benchmarks its pricing against comparable annual contracts negotiated with unrelated Chinese end users for the same coal quality, delivering sales at weighted average market pricing rather than at discount. Recent full-year utilisation has ranged from 49 to 67 percent of the established annual caps, indicating the volumes are achievable given prevailing market conditions.

The renewal reflects Yancoal’s strategic position supplying both its parent company and broader affiliates within the Shandong Energy ecosystem. Yankuang Energy holds approximately 62.26 percent of Yancoal’s issued shares and is a consistent customer alongside related entities YIT, YLHK, HII and newly-established SETI. Ignite Capital has been appointed as an independent financial adviser to evaluate the commercial fairness of these terms, addressing the inherent tension in related-party transactions between a controlling shareholder and the broader investor base.

The agreement renewal arrives in parallel with completion of Yancoal’s US$1.85 billion acquisition of Kestrel Coal Group on 1 October 2026. Kestrel holds an 80 percent interest in the Kestrel Coal Mine, a large-scale, long-life metallurgical coal asset in Queensland’s Bowen Basin. To finance this acquisition, Yancoal raised US$1.2 billion in syndicated facility and drew from available cash, while entities within the Target Group will guarantee Yancoal’s obligations and provide security over their assets. Under Australian law, this financial assistance requires shareholder approval by special resolution.

An extraordinary general meeting is expected to dispatch materials around 2 November 2026, with voting set for early December. The meeting will consider approval of the renewed framework agreements, the proposed coal supply pacts with YLHK and HII, the spot opportunity MOU with SETI, financial assistance for the Kestrel financing, and election of director Ping Nie. Lonergan Edwards will provide the independent expert’s assessment of fairness to minority shareholders regarding the proposed sales arrangements.

Investors should monitor the independent expert’s conclusions on pricing methodology and the independent financial adviser’s evaluation of commercial terms. The 62.26 percent controlling stake held by Yankuang Energy will abstain from voting on related-party resolutions, leaving approval dependent on independent shareholders. The market test will centre on whether the agreed arrangements represent genuine arm’s-length commercial terms appropriate to Yancoal’s growth strategy and its enlarged production profile following the Kestrel acquisition.
