Atlas Arteria delivered underlying profit growth of 29 percent in the first half of 2026, masking a reported statutory loss that was shaped by one-time costs linked to the extinguishment of a put option at its Chicago Skyway asset and the company’s response to an unsolicited takeover offer from IFM. The underlying result shows the toll road operator’s core business remains resilient, even as foreign exchange headwinds and the IFM acquisition process have created near-term noise around headline figures.
The statutory net loss of $73.3 million stands in sharp contrast to a net profit of $73.3 million in the prior year half, but this swing reflects the costs of eliminating the put option held by Ontario Teachers’ Pension Plan at Chicago Skyway and charges associated with the IFM takeover, rather than deterioration in operational performance. Stripping out these non-operating items, underlying net profit after tax reached $94.3 million, up 29 percent from $73.3 million in the first half of 2025. This distinction matters because it reveals how the underlying business is tracking and what sustainable earning power looks like once one-time items are removed.
The company’s proportional toll revenue declined 3.9 percent to $917.5 million, but this figure is distorted by unfavourable foreign exchange movements. Excluding currency effects, underlying toll revenue actually grew 0.6 percent, suggesting the portfolio is performing reasonably well operationally. Proportional EBITDA fell 3.6 percent to $702.6 million, though the EBITDA margin actually expanded slightly to 76.6 percent from 76.4 percent, pointing to disciplined cost management in a challenging environment. Operating free cash flow per security came to 19.1 cents, down marginally from 19.4 cents in the prior year half.
The IFM takeover bid, which increased the infrastructure fund’s relevant interest from 34.5 percent to 67.4 percent, represents a significant ownership shift. Atlas Arteria’s boards and management have signaled they will continue executing on strategic priorities alongside IFM, maintaining a focus on creating value for all securityholders. The extinguishment of the Chicago Skyway put option for US$100 million, completed in August with funding from a new corporate debt facility, removes a key point of uncertainty for the business and allows management to concentrate on unlocking value elsewhere.
The company reaffirmed its full-year 2026 distribution guidance of 40 cents per security, with a half-yearly distribution of 20 cents to be paid in October. This commitment signals confidence in the company’s ability to generate sufficient free cash flow despite the near-term disruptions. Going forward, investors should watch progress on the Dulles Greenway rate case and the outcomes of upcoming concession retenders in France, both of which could materially affect long-term cash generation and distribution capacity.
