Challenger (ASX: CGF) – 2026 AGM Chair and CEO Addresses

Challenger Limited received a non-binding indicative offer from TAL Daiichi Life Australia to acquire the remaining 79.5 percent stake at $11.80 per share, highlighting investor appetite for the retirement income sector. The board rejected the offer as undervalued but signalled willingness to engage with TAL on a higher proposal. The interest reflects management’s growth narrative built on a generational demographic shift toward retirement and longevity risk, though it also exposes a valuation gap between the company and its largest shareholder.

Challenger’s financial performance justifies heightened strategic interest. Normalised earnings per share grew 3 percent to 68.1 cents, with normalised net profit after tax reaching $468 million. The company deployed a $150 million on-market buy-back completed in October and announced a second $300 million program, since paused pending the TAL proposal. Total shareholder returns hit 13.1 percent per annum over five years and 28 percent in FY26 alone. Management increased the ordinary dividend to 31.5 cents per share, up 7 percent, supplemented by a special dividend of 1.5 cents.

Underpinning the interest is momentum in the core business. Record annuity sales reached $6.2 billion in FY26, then jumped 72 percent to $2.8 billion in the September quarter alone, driving overall sales growth of 52 percent to $4.4 billion. This pace reflects new distribution channels through strategic partnerships with Insignia, BT and Colonial First State, coupled with regulatory tailwinds from APRA’s new capital standards for longevity products, which came into effect in July and meaningfully reduced capital intensity on longer-duration liabilities.

Management’s growth ambitions extend beyond domestic retail. The Mitsui Sumitomo Primary partnership generated nearly $8 billion in business over a decade, demonstrating scope for offshore expansion. A new reinsurance platform, Calix Re, established in Bermuda with regulatory approval and an AM Best credit rating, signals expansion into selected Asian retirement markets. New institutional funding channels, including the Challenger Annuity-Backed Notes program with a $750 million inaugural issuance and the LiFTS platform, broaden capital markets access. Management targets $50 billion in assets by 2030, a 60 percent increase from the current $31 billion.

The strategic backdrop is compelling. Australia faces a record retirement cohort, with government projections suggesting the over-pension-age population will almost double to 9 million within 40 years. Challenger positions itself as the dominant player in converting accumulated savings into reliable income, a structural shift in Australia’s retirement system that remains in early innings.

For investors, the TAL proposal crystallises two questions. First, whether Challenger’s valuation reflects the scale of the retirement income opportunity, a debate the market will monitor closely during board-led negotiations. Second, whether management can execute its ambitious growth roadmap, contingent on investment excellence, successful partnership integration and regulatory momentum. This announcement is price sensitive and has been flagged as material by the Australian Securities Exchange.
