Corporate Travel Management has identified and quantified significant accounting and operational issues in its UK business that resulted in customer billing discrepancies, revenue recognition errors, and supplier rebate mishandlings totalling approximately $297 million in liabilities across FY25 and FY26 forecast. The company has secured a refund program covering around 78 percent of identified issues, with $191 million in staged payments agreed or close to finalisation through September 2027. A $175 million committed debt facility from PEP Credit provides the liquidity required to fund these remediation efforts alongside ongoing operations.
The three categories of identified issues centre on erroneous billing under historic UK client contracts, airfare margins retained where contractual arrangements did not clearly permit this practice, and supplier rebates that CTM was obligated to pass through to clients but retained instead. While substantial, these liabilities represent discrete, identified matters that management has investigated thoroughly through a forensic accounting review by KPMG UK and begun actively remediating. The company has appointed an interim CEO for the UK/EU region, strengthened contract oversight processes, and enhanced financial controls and approval discipline across that business unit.
Beyond the immediate remediation focus, CTM’s underlying operations have remained comparatively resilient. Full year FY25 total transaction value reached $9.6 billion with underlying EBITDA of $83.6 million, though the latter was materially depressed by the UK issues and ANZ commission reversals. Management guidance for FY26 forecasts TTV of $9.9 billion and underlying EBITDA of $113.6 million, representing a 36 percent improvement in EBITDA despite a modest FX headwind to revenue. The company achieved 97 percent transaction value retention on its corporate client base in the forecast period, suggesting that core client relationships have weathered the disclosure of these issues without significant deterioration.
The company has undertaken a comprehensive governance review across its operations and is implementing a multi-year uplift program addressing structural gaps in accountability, risk management, controls, and assurance. Management attributes much of the governance challenge to the historical regional operating model and founder-led structure, and is transitioning toward an integrated global platform underpinned by investment in proprietary technology, data governance, and automation. This shift, detailed in the strategic pathway, projects a progression from the current remediation phase through acceleration into FY28 and scaled growth thereafter.
Goodwill impairment charges of $357.7 million reflect revised cash flow projections and updated cost of capital metrics. The company’s balance sheet strengthened through the new $175 million debt facility, with management planning disciplined cash deployment aligned to the staged refund program rather than drawing the facility in full. Forward-looking statements from management indicate that dividends remain suspended pending a return to sustainable profitability.
