Carnaby Resources Limited has dispatched its scheme booklet to shareholders, marking a significant milestone in Evolution Mining’s proposed acquisition of the company. The scheme booklet contains all materials needed for shareholders to make an informed decision on whether to approve the transaction, which would see Evolution acquire all ordinary shares in Carnaby that it does not already hold through a scheme of arrangement under the Corporations Act.

Evolution Mining’s bid for Carnaby represents a consolidation move within the mining sector, combining two ASX-listed entities in the precious metals space. The scheme booklet includes detailed information about the proposed transaction, the reasons shareholders might support or oppose the deal, and key risks associated with both the scheme and the combined entity post-acquisition. The materials were distributed to shareholders via their stated communication preferences, with electronic access available through Carnaby’s website and the ASX market announcement platform.

The independent expert assessment carries particular weight in the scheme process. BDO Corporate Finance Australia concluded that the scheme is fair and reasonable and therefore in the best interests of Carnaby shareholders, absent a superior proposal. The Carnaby board has unanimously recommended shareholders vote in favor of the scheme, subject to the expert maintaining its view. All directors have signaled their intention to vote their own shareholdings in support, removing any ambiguity about board commitment to the transaction.

The scheme meeting is scheduled for Monday, 26 October 2026 at 11:00 AM Australian Western Standard Time in Perth. The October timing gives shareholders approximately one month to review the comprehensive scheme booklet and supporting documentation before voting. This window allows time for shareholder engagement and for the market to fully absorb the transaction’s implications. Shareholders will need to understand not just the standalone case for change, but also Evolution’s integration plans and synergy expectations for the combined operation.

For investors monitoring this transaction, the key milestone now is the scheme meeting itself. Regulatory approvals have already been secured, with the Supreme Court of Western Australia having ordered that the meeting proceed and having approved the scheme booklet distribution. The focus shifts to shareholder voting. Investors should monitor whether any superior proposals emerge before the meeting date and track any regulatory updates. Success of the scheme depends on securing majority voting approval from shareholders, making shareholder assessment of the transaction a central point to watch through October.
