Ingenia Communities Group (ASX: INA) – INA Receives Indicative Proposal from AVID 21

AVID Property Group Holdings has tabled an unsolicited offer to acquire Ingenia Communities Group for $5.35 per stapled security in cash, with potential for an additional $0.05 from the H1 2027 distribution, bringing the total consideration to $5.40 per security. The announcement, made after market close on October 23, introduces a competing bidder into Ingenia’s already complex corporate situation and adds material uncertainty for shareholders currently contemplating an acquisition by Peet Limited.

The AVID proposal is non-binding and indicative, contingent on completion of due diligence, board recommendations, and regulatory approvals from both FIRB and ACCC. AVID, backed by a global sovereign wealth fund and a financial sponsor, has committed to funding the transaction through a combination of equity and debt, with no financing condition attached. The offer incorporates a planned restructure whereby Ingenia’s holiday parks business would be transferred to Tasman Holiday Parks or its nominee, though this restructure is not a condition precedent to the deal closing.

Ingenia’s board has granted AVID a period of soft exclusivity lasting six weeks, meaning the exclusivity terms remain subject to customary fiduciary outs. This allows AVID time to complete due diligence and negotiate an implementation deed before the board must assess whether the competing proposal constitutes a Superior Proposal under the existing Peet scheme implementation deed. The board has stated that AVID’s offer does not currently meet this threshold and has not signalled any intention to recommend it to shareholders. AVID must provide written confirmation to Ingenia on November 13 and November 30 that it remains committed to current deal terms.

The competing proposal creates immediate complexity for multiple parties. Peet shareholders face uncertainty about their deal, which was announced on August 26. Ingenia could terminate the Peet arrangement if it determines a Superior Proposal has emerged, but doing so triggers a $10 million reverse break fee. For Ingenia shareholders, the board’s fiduciary duty to act in their interests means evaluating which proposal offers better value and certainty of completion.

Three developments warrant close attention over the next six weeks. First, AVID’s confirmations in November will signal whether the bidder remains committed to the deal on current terms. Second, the board’s eventual assessment of whether AVID’s proposal qualifies as Superior will determine the path to shareholder recommendation. Third, any announcements regarding the Peet transaction’s status will clarify Ingenia’s strategic direction. The resolution of these competing claims through regulatory approval and board processes will shape outcomes for all stakeholders involved.
