Ingenia Communities Group (ASX: INA) – Improved proposal from Warburg Pincus

Warburg Pincus has increased its acquisition proposal for Ingenia Communities Group to $5.45 cash per stapled security, with the potential for an additional $0.05 distribution that would not reduce the purchase price, bringing the total consideration to up to $5.50 per security. The revised non-binding proposal, dated 27 October 2026, represents a $0.10 per security increase on the AVID Property Group Holdings proposal announced the previous day, triggering Ingenia’s contractual obligations to offer AVID the opportunity to match or exceed the terms.

The price uplift demonstrates renewed competitive interest in Ingenia’s 96-community portfolio of aged care and holiday accommodation assets. Ingenia’s Board has determined the Warburg Pincus proposal qualifies as a Superior Proposal under the AVID process deed, meaning it can now engage directly with the new bidder and provide exclusive due diligence access by 1 November 2026. This determination hinges on the Board’s assessment that continuing to restrict its engagement would likely breach director duties, a common threshold in takeover situations where materially higher offers emerge.

The acquisition would involve Warburg Pincus’ co-investors, Discovery Parks Holdings and LDR Capital, acquiring Ingenia’s holiday parks and gardens businesses respectively. The proposal remains non-binding and subject to multiple conditions: Board approval of the co-investors, completion of due diligence, binding debt finance commitments, final investment committee approval, negotiation of a binding implementation agreement, and regulatory clearances from FIRB and ACCC. Ingenia must also terminate its existing scheme implementation deed with Peet Limited, signed in August 2026, which carries a $10 million break fee if triggered improperly.

The Warburg Pincus proposal has not yet been assessed as a Bidder Superior Proposal under the Peet agreement, meaning Ingenia continues working toward the Peet acquisition and has not yet indicated an intention to recommend the new proposal to securityholders. AVID retains the ability to match or counter the Warburg Pincus terms until 1 November, and the company continues to have access to due diligence information. The Board explicitly stated there is no certainty the Warburg Pincus proposal or AVID’s offer will result in a binding transaction.

Investors should monitor AVID’s response by the 1 November deadline, which will determine whether the bidding process continues or narrows toward a single party. The timetable for financing commitments, due diligence completion, and regulatory approvals will also signal the genuine likelihood of a transaction reaching implementation. This announcement is price sensitive and has been flagged as material by the ASX.
