Mercury NZ (ASX: MCY) – Mercury Updates Employee Share Scheme Assistance

Mercury NZ (ASX: MCY)View stock profile →

Mercury NZ Limited has disclosed details of its recent Employee Share Scheme distribution, under which the company funded the acquisition of approximately 175,424 ordinary shares for participating employees with zero employee contribution required. The total financial assistance provided by Mercury reached $1,199,797, with shares purchased at an average price of $6.83 per share through on-market transactions on the NZX. Each eligible employee in FY27 received shares worth $1,000, with the entire cost borne by the company.

The scheme represents a significant capital allocation decision for Mercury, signalling the company’s commitment to employee ownership and retention of key personnel over the longer term. By fully funding the share purchase and directing funds through an independent trust structure, Mercury demonstrates confidence in its equity while creating an incentive for employees to remain with the company through an extended vesting period. The appointment of Sharesies Trustee as the scheme administrator provides a neutral structure for holding and managing the shares during the three-year restricted period following allocation.

The timing of the disclosure reflects Mercury’s obligations under New Zealand’s Companies Act 1993, which requires listed companies to disclose financial assistance provided for share acquisitions. The announcement specifies that shares will be held in trust until three years from the allocation date, with participants able to access shares earlier only in limited circumstances such as death or serious illness. Any unallocated shares remain in the trust for the benefit of eligible employees and future scheme administration. This structure protects the company from immediate equity dilution while employees build a meaningful long-term position.

From an investor perspective, the $1.2 million outlay is a modest capital commitment relative to Mercury’s scale as a dual-listed renewable energy utility. The company’s decision to fully fund the scheme rather than offering it as a subsidy or loan arrangement signals how seriously management views equity ownership alignment with its workforce. As a provider of electricity, gas, broadband and mobile services with Government ownership at the legislated 51% level, Mercury operates within a stable regulatory framework, and employee ownership schemes are a standard feature of mature utilities seeking workforce alignment.

The three-year restricted period is noteworthy, as it directly ties employee wealth creation to longer-term company performance rather than short-term trading activity. This structure encourages participants to maintain their allocations through market cycles and reduces the likelihood of large forced selling pressure should market conditions weaken near term.

Investors should monitor whether this scheme proves effective in attracting and retaining talent essential for Mercury’s renewable energy portfolio management and retail business expansion. The disclosure does not indicate whether future annual tranches are planned or whether the $1,000-per-employee allocation represents a one-time offer. Changes to scheme structure or scope could signal shifts in Mercury’s capital allocation priorities or workforce strategy.
