Forrestania Resources Limited completed its acquisition of the Edna May Gold Project from Ramelius Resources Limited on 4 September 2026, marking a transformational shift in the Western Australian gold sector. The A$300 million all-in consideration, comprising A$210 million in cash and 225 million Forrestania shares valued at A$90 million, has been funded through a A$310 million placement that raised approximately A$215 million before costs, with shareholder approval secured at a General Meeting held on 28 August.
The acquisition establishes Forrestania as owner of two strategic processing hubs in Western Australia: the existing Lake Johnston facility and the newly acquired Edna May processing facility. This dual-hub configuration positions the company to target combined milling capacity of more than six million tonnes per annum following refurbishment and recommissioning activities. The scale of this operation, once fully ramped, would position Forrestania among the more significant independent gold producers in the state, moving it beyond exploration and early-stage development focus into an operational producer with established infrastructure.
From Ramelius’s perspective, the divestiture represents a strategic streamlining of its asset portfolio. Rather than retaining Edna May as a legacy operation requiring significant capital for refurbishment, Ramelius has crystallised value through this transaction while simultaneously establishing itself as a major shareholder in Forrestania with 225 million shares. This structural arrangement ties Ramelius’s interests to Forrestania’s execution and success, creating strategic alignment between the two entities. The arrangement suggests confidence from Ramelius in Forrestania’s capability to unlock value from the Edna May asset.
Investors should focus on several execution risks ahead. The refurbishment and recommissioning of Edna May’s processing facility will require substantial capital deployment and operational expertise. Forrestania must successfully integrate two geographically distinct processing operations, each with their own supply chains, workforce requirements, and ore processing characteristics. The company has committed to reaching 6-plus million tonnes per annum of combined capacity, but achieving this target depends on securing sufficient ore feed from both existing assets and exploration upside across the Edna May and Lake Johnston regions.
The placement’s successful completion at approximately A$215 million provides Forrestania with working capital to fund integration activities and near-term operational requirements. However, the full refurbishment programme may require additional capital over time, and the company’s ability to fund growth without further dilution to existing shareholders will depend on demonstrating operational progress and achieving production targets.
The critical metrics to monitor include the pace of Edna May’s refurbishment, actual throughput rates achieved once processing recommences, ore grades and recovered gold volumes from both facilities, and cash burn during the transition period. These operational milestones will determine whether Forrestania can deliver on its ambition to become a significant WA gold producer and justify the substantial capital commitment investors have now made to this strategy.
