The Supreme Court of New South Wales has approved the convening of a shareholder meeting and distribution of the Scheme Booklet for Steadfast Group Limited’s proposed acquisition by Starboard BidCo, an entity backed by Dragoneer Investment Group and KKR. This court order represents a key procedural milestone in the takeover process, clearing the path for shareholders to vote on the scheme at a meeting scheduled for 27 November 2026 at the Sheraton Grand Sydney Hyde Park.
The scheme values Steadfast at a price per share that falls within the Independent Expert’s assessed range of $5.44 to $6.09 per share. Kroll Australia, the appointed Independent Expert, concluded the scheme is in the best interests of shareholders absent a superior proposal. The Steadfast Board has unanimously recommended shareholders vote in favour, with all directors signalling their personal intention to vote their own shareholdings in support. This alignment between the board and the independent valuation assessment removes significant governance ambiguity.
The acquisition involves a structured approach to the business. Starboard BidCo will acquire Steadfast, then on-sell the underwriting agencies business segment to Amwins Group Inc. While Amwins is not an investor in Starboard BidCo, it will provide partial funding for the overall transaction. This bifurcated structure separates Steadfast’s insurance broking operations from its underwriting agencies division, with each moving to different owners post-completion. Such arrangements can create both opportunities and complexities in execution.
The Scheme Booklet, containing the full transaction terms and the detailed Independent Expert’s Report, is expected to be despatched to shareholders by 26 October 2026. Shareholders will receive materials either electronically or by post depending on their previously elected communication preferences. Those unable to attend the 27 November meeting in person can vote via an online meeting platform or appoint a proxy, with proxy appointments needing to be received by 10:00am on 25 November.
The indicative implementation timetable shows a Second Court Date on 1 December, an Effective Date of 2 December, and scheme implementation expected by 22 December 2026. This relatively compressed timeline is typical for schemes that proceed without material shareholder opposition. ASIC has already approved an extension of Steadfast’s Annual General Meeting deadline to 28 February 2027, enabling the company to delay its AGM pending the scheme outcome rather than holding both meetings in close succession.

Become an AR or CARFor shareholders, the 27 November vote represents the critical decision point. The court has cleared the procedural hurdle, and the Independent Expert’s endorsement provides independent assessment of the $5.44 to $6.09 valuation range. What remains to be seen is the shareholder vote outcome and whether any superior proposal emerges before the meeting date. Investors should review the Scheme Booklet carefully before voting, paying particular attention to the business separation arrangements and any post-implementation risks identified in the expert report.
