Transurban has reached commercial close on its I-24 Choice Lanes project in Nashville, Tennessee, the company announced today. Commercial close marks the point at which financial terms between Transurban’s DriveTN Consortium and the Tennessee Department of Transportation have been locked in, moving the project toward its next gate: Financial Close, where final funding is arranged and construction can commence in 2027.
The payment structure reveals a $21 billion present-value commitment to TDOT over the full life of the concession, consistent with the offer made during procurement. Construction-phase payments run from 2027 through 2033, peaking at approximately $1.1 billion per year in nominal terms and totaling $7.7 billion. Operating payments stretch across five decades, with the operating period divided into bands: $1.53 billion PV during 2036 through 2040, rising through subsequent decades. The project is financed with a 75/25 debt-to-equity leverage cap, meeting TIFIA term sheet requirements and maintaining the investment-grade rating threshold that underwrites the financial plan.
Revenue sharing with TDOT applies only if the project outperforms its base case, creating a tiered upside structure. Two mechanisms operate in parallel. An IRR-based mechanism triggers when accumulated revenues exceed the base case by more than 200 basis points, with TDOT’s share of incremental IRR rising from 12.5 percent for the first 200 bps to 75 percent beyond 600 bps. A toll-rate mechanism activates when per-mile toll revenue exceeds $3.20 in 2025 dollars, with TDOT claiming 50 percent of toll revenue from $3.20 to $4.80, 75 percent from $4.80 to $6.40, and 90 percent above $6.40. Both mechanisms ensure that upside capture depends on operational performance.
For Transurban shareholders, commercial close represents a significant milestone by confirming that financial negotiations with TDOT have concluded. The project carries a 50-year operating concession beginning in 2036, providing long-term cash flow visibility once construction concludes. The payment profile, substantial as it is, reflects both the capital intensity of the asset and the expected toll revenues. The revenue-sharing structure means Transurban participates in upside if the project outperforms, though TDOT captures an escalating share of that outperformance.
The next critical milestone is Financial Close, where capital structure will be finalized and Transurban will fund its equity commitment from existing balance sheet capacity. Investors should track the timing and any updates on how the company manages its capital structure as this project progresses. The announcement is price sensitive and flagged as material by the ASX.
