WiseTech Global (ASX: WTC) – WiseTech Global Resolves ASIC Regulatory Matter

WiseTech Global has cleared a significant regulatory hurdle with ASIC concluding its investigation into alleged trading in company shares. The Australian Securities and Investments Commission has issued no-action letters to Richard White and two other current employees, confirming it will take no enforcement action against them. ASIC also concluded a separate governance investigation that commenced in late 2024 and issued a no-action letter to the company itself, indicating no enforcement action is planned regarding that matter either.

The resolution removes uncertainty that has persisted since October 2025, when WiseTech first disclosed ASIC’s investigation into alleged trading activity. The no-action letters represent a favorable outcome in an enforcement investigation, eliminating the risk of sanctions, penalties, or reputational damage from regulatory action. The clearance of both the trading investigation and the broader governance review suggests ASIC found no material violations that warranted formal enforcement measures.

One qualification remains. ASIC has indicated that an investigation into another individual, who is not employed by WiseTech, continues. This individual’s potential exposure does not directly implicate company employees or the company itself, but ongoing investigation activity does mean the matter is not entirely closed. The company and independent board chair Raelene Murphy characterized the resolution as progress, positioning it as enabling management to refocus on creating long-term shareholder value without regulatory distraction.

WiseTech Global is a leading software provider for the logistics, global trade and supply chain industries. The company serves more than 20,000 logistics companies across 193 countries, including 47 of the world’s top 50 third-party logistics providers and 24 of the 25 largest global freight forwarders. Following its acquisition of e2open, WiseTech expanded its network to encompass over 500,000 connected enterprises across manufacturing, logistics, channels and distribution, broadening its reach across the supply chain ecosystem.

For investors, the significance lies in removing a governance-related overhang that could have weighed on institutional sentiment or raised questions about management conduct and board oversight. The resolution may allow the stock to trade on operational fundamentals and growth execution rather than regulatory risk. Going forward, attention will turn to the resolution of the non-employee investigation, should it become public, and to WiseTech’s progress integrating e2open and executing on its strategy to become the operating system for global trade and logistics. This announcement is price sensitive and has been flagged as material by the ASX.
