Eagers Automotive has agreed to acquire the remaining 20% stake in its BYD Retail Joint Venture, EV Dealer Group Pty Ltd, in a transaction combining cash and equity consideration. The move will convert the business into a wholly-owned subsidiary by eliminating the non-controlling interest that has existed alongside Eagers’ majority ownership. The agreement is binding and unconditional, with completion expected by 31 October 2026.
The acquisition addresses a common dynamic in joint ventures where one partner seeks full control to simplify operations and capture the entire earnings stream. By consolidating ownership, Eagers removes the complexity of having a minority shareholder in an EV distribution business that sits within its broader automotive retail portfolio. This is a standard consolidation move in companies managing multiple business units or partnerships.
Management expects the transaction to be 5.0% to 5.5% earnings accretive based on pro-forma underlying operating profit before tax for the 12 months ended 30 June 2026. The accretion figure uses pro-forma financials that include 12 months of CanadaOne earnings from 1 July 2025 through 30 June 2026, though these figures remain unaudited. The company has flagged that underlying operating results exclude significant items and differ from statutory results, with reconciliations available in the 1H26 investor presentation.
The BYD partnership has been a significant element of Eagers’ exposure to electric vehicle retail in Australia. Consolidating it into full ownership allows the company to integrate the business more deeply and potentially improve operational efficiency without negotiating decisions with another stakeholder. For a business scaling EV sales in a growing segment, owning 100% of the venture offers clearer control over strategy and capital allocation.
Investors should note that the earnings accretion projection is management guidance and depends on execution and market conditions. The use of company shares as part of the consideration means existing shareholders will experience dilution, though the scale depends on the share price at which the equity component is priced.
