Accent Group (ASX: AX1) – Accent Responds to Frasers Final Offer

Frasers Group plc has declared its A$0.65 per share offer for Accent Group Limited as “best and final” and confirmed it will not increase the price. This declaration hardens Frasers’ position in its unsolicited takeover bid, yet the Accent Independent Board Committee has maintained its unanimous recommendation that shareholders reject the offer. The board’s unchanged posture despite Frasers’ announcement suggests the IBC believes the offer continues to undervalue the company or misaligns with shareholder interests.

Frasers’ move to label the offer “best and final” follows earlier rejection from shareholders and the board. The A$0.65 price has remained static across multiple announcements, and the IBC notes that the offer has “failed to attract meaningful shareholder support.” The board’s continued rejection carries weight in a takeover context, as directors who hold shares in the company typically put their own capital where their recommendation lies. All IBC members have signaled they intend to reject the offer for their own shareholdings.

The IBC has drawn attention to a perceived contradiction in Frasers’ approach. In an open letter dated 26 October, Frasers stated it was not seeking board control, yet the IBC points to Frasers’ own Bidder’s Statement, which outlined an objective of reaching at least 26% ownership and obtaining additional board influence to effect changes to Accent. The IBC characterizes the “best and final” declaration paired with pressure for shareholders to “act now” as an attempt to secure acceptance of an offer that provides no control premium while Frasers increases its voting power ahead of the upcoming shareholder meeting.

The upcoming Annual General Meeting on 20 November 2026 has become central to this dispute. Non-executive directors have voluntarily decided to stand for re-election, effectively putting the board composition directly to shareholders and providing them with a clear mechanism to express their preference for independent board leadership. The IBC frames a vote in favor of the board as a vote for governance in the interests of all shareholders, contrasting this with governance potentially dominated by a single substantial shareholder and commercial counterparty.

Investors should monitor shareholder voting in the lead-up to the November meeting, which will signal the appetite among Accent’s ownership base for change in leadership or acceptance of Frasers’ vision. The takeover bid remains open, but the board’s solidified stance and the approaching AGM create two separate channels through which shareholders can influence Accent’s future. The outcome of director re-elections will provide important signals about shareholder sentiment regarding board composition and the company’s strategic direction. This announcement is price sensitive and has been flagged as material by the ASX.
