Dicker Data (ASX: DDR) – Dicker Data completes Sektor Group 2 acquisition

Dicker Data has completed its acquisition of New Zealand-based distributor Sektor Group today, expanding the company’s geographic footprint and product category mix at a time when Australian technology distribution faces intensifying margin pressures. The deal closed on schedule following the October agreement announcement, demonstrating smooth execution of a significant transaction in a competitive corporate market.

The acquisition brings a business of substantial scale into the Dicker Data fold. Sektor delivered NZD$440 million in gross revenue across the twelve months to August 2026, alongside unaudited normalised EBITDA of NZD$22.7 million before AASB16 adjustments. Management targets the combined entity to generate annualised post-integration EBITDA in the range of NZD$28-32 million on the same pre-AASB16 basis, representing 23-41 percent upside from Sektor’s current run-rate performance. This substantial upside projection points to either meaningful organic growth assumptions within the acquired business or significant synergy extraction, or a combination of both.

Beyond the financial metrics, the acquisition provides strategic value that may appeal to growth-focused investors. Sektor offers Dicker Data direct exposure to point-of-sale and enterprise mobility solutions, product categories the company does not currently emphasise within its existing portfolio. The deal simultaneously delivers operational footholds in Thailand and Malaysia, shifting Dicker Data from an Australia-centric distributor toward a regional business with Southeast Asian infrastructure already in place. For a company built fundamentally on vendor relationships and partner ecosystem strength, that geographic diversification represents a structural shift in business composition.

The financing approach speaks to management’s capital strategy. Dicker Data funded the acquisition through an extension of its existing debt facilities, positioning leverage as the tool to capture growth. Management expects the transaction to be earnings accretive during the December 2026 financial year, excluding one-off integration and transaction costs. This guidance removes a common concern for large acquirers, where first-year dilution typically compels shareholders to wait for accretion to materialise. The magnitude of integration costs will warrant attention when results are released.

Investors should monitor management commentary in forthcoming financial results closely. The near-term focus will be execution quality on integration and the path to realising target EBITDA within Sektor operations. Equally important will be tracking any headwinds emerging within the Southeast Asian business environment, which carries different competitive and economic dynamics than the Australian market Dicker Data has long known. The acquisition’s success ultimately depends on whether synergies and organic growth in Sektor materialise as management has projected.
